1. Use of this website

This website is operated by SwarmSide Medical (Shenzhen) Co., Ltd. ("we", "us", "our"). By using the site you agree to these terms. If you do not agree, please do not use the site.

All content on this site - text, product descriptions, specifications, photographs, graphics, layouts and code - is owned by us or licensed to us and is protected by applicable intellectual property law. You may view, download and print pages for the purpose of evaluating and purchasing our products. You may not copy, republish, resell or use our content commercially, or use automated tools to harvest data from the site, without our written permission.

Product images are representative. Colour, texture and finish can vary slightly between production batches, screens and lighting conditions, and customization options described on this site are subject to confirmation in your quotation.

2. Adult-only restriction

This site describes adult products and is intended for business visitors aged 18 or over. By entering the site you confirm that you are at least 18 years old and that viewing adult material is legal in your jurisdiction. You are responsible for ensuring that the products you purchase may be lawfully imported, advertised and sold in your market.

3. Quotations and order formation

• Quotations are valid for 30 days from issue unless stated otherwise, and are subject to material availability, exchange rates and freight conditions.
• A contract is formed when you confirm the proforma invoice in writing and we receive the agreed deposit, or when both parties sign a sales contract.
• Order specifications, artwork files, packaging requirements and delivery instructions must be confirmed in writing before production begins. Changes requested after production starts may affect price and lead time.
• We may decline an order where we cannot verify the buyer, where content is unlawful in the destination market, or where export restrictions apply.

4. Pricing, payment and taxes

• Prices are quoted per unit in the currency stated in the quotation, normally USD, and exclude any duties, taxes, clearance fees or destination charges unless the agreed incoterm makes them our responsibility.
• Standard payment terms are 30% deposit with the order and 70% balance before shipment, by bank transfer to our company account. Bank charges are the responsibility of the payer unless agreed otherwise.
• For established partners we may agree adjusted terms in writing. Late payment may delay production or shipment.
• Customs duties, import VAT and any local compliance costs in the destination country are the buyer's responsibility unless expressly included in the agreed incoterm.

5. MOQ, samples and tooling

• Minimum order quantity is 1 pc for a sample or trial order, with bulk wholesale pricing typically from 10 pcs per model. Mixed models are supported.
• Sample and tooling charges are invoiced separately and, at agreed volumes, sample cost may be credited against the mass production order.
• Tooling developed for a custom project is restricted to that customer's orders under the terms stated in the contract. Unless agreed otherwise in writing, tooling remains in our workshop and is maintained by us for repeat production.
• Approved samples are retained as the quality reference for the project. Subsequent orders are produced to that reference unless a written change is agreed.

6. Lead time and delays

Lead times are stated in working days from the later of sample approval, receipt of the deposit, and confirmation of artwork or specifications. We plan production against those conditions, but lead times may be extended by events outside our reasonable control, including material shortages, power restrictions, port congestion, customs examination, extreme weather, industrial action or transport disruption. Where a delay occurs we will inform you promptly and confirm a revised schedule.

7. Shipping, risk and title

• Shipping is arranged under the incoterm agreed in the proforma invoice (EXW, FOB, CIF, DAP or DDP). Risk passes according to that incoterm.
• We pack for export using discreet outer packaging by default. Where you require branded or marketplace-specific packing, the specification must be confirmed in writing before production.
• Title to the goods passes to the buyer when payment has been received in full, regardless of when risk passes.
• Claims for shortage or visible transit damage should be notified within 7 days of delivery, supported by photographs and packing list references.

8. Inspection, warranty and defects

• Goods are inspected before shipment using AQL sampling against your approved sample. You may appoint a third-party inspector at your own cost.
• Confirmed manufacturing defects reported with photographic or video evidence are, at our option, repaired, replaced or credited in a following shipment.
• Electronic and mechanical components - heating, vibration, voice and AI modules - carry a 12-month functional warranty from the shipment date for failure under normal use.
• The warranty does not cover damage caused by misuse, improper cleaning or solvents, excessive heat or sunlight, unauthorized modification or repair, or normal wear of soft materials.
• Customized and private label items are produced to your specification and may not be returned for reasons of commercial change, unsold stock or design preference.

9. Confidentiality and design ownership

• We will sign a mutual non-disclosure agreement on request before reviewing design files, reference images or brand assets.
• You confirm that you hold the rights to any artwork, logo, trademark or reference image you supply, and you indemnify us against third-party claims arising from the use of that material.
• Intellectual property in our standard models, molds and photographs remains ours. Intellectual property in your brand assets remains yours.
• Exclusive tooling, artworks and specifications developed for you are not used for other customers, and reference samples are stored in a controlled area.

10. Compliance and export restrictions

You are responsible for confirming that importing, advertising and selling the ordered products complies with the laws of your market, including adult-content regulation, labelling, packaging, chemical restrictions and marketplace policies. We supply the compliance documentation we hold or can obtain, but these documents do not replace your own legal advice. We will not knowingly ship to a party or destination subject to sanctions, and we may request end-use information before dispatch.

11. Limitation of liability

To the maximum extent permitted by law, our total liability in connection with an order is limited to the invoice value of the goods concerned. We are not liable for indirect or consequential losses, including lost profit, lost market opportunity, storage or disposal costs, or costs of substitute goods. Nothing in these terms excludes liability that cannot lawfully be excluded.

12. Governing law and contact

These terms are governed by the laws of the People's Republic of China. The parties will first attempt to resolve any dispute through good-faith negotiation; if that fails, the dispute will be referred to the competent court or, where agreed in the contract, to arbitration in Shenzhen.
